One of the first questions Korean companies looking to start a business in Canada encounters is, "Which is better: a federal corporation or an Ontario corporation?" Although both are legal entities, they differ in the scope of name protection and management methods, so the choice depends on the form of market entry. We have summarized the key differences based on factual information.

Federal Corporation vs. Ontario Corporation — Key Differences

  • Name protection scope — For federal corporations, approved trade names are protected throughout Canada, whereas for Ontario corporations, they are protected only within Ontario. If you are planning a national brand, the federal option is often more advantageous.
  • Government fees (online basis) — The cost for federal incorporation is around $200, and for Ontario incorporation it is around $300. For federal incorporation, there may be a separate fee for the Name Search (NUANS) report.
  • Moving and residency requirements For federal corporations, at least 251 TP3T of the directors must be Canadian residents. Ontario corporations do not have such residency requirements, so they are worth considering if you have founders or executives residing overseas.
  • Post-establishment management Federal corporations must file an annual return with Corporations Canada (online for about $12) and register separately in each province where they actually conduct business. Having the right to do business throughout Canada does not exempt you from provincial registration. If you conduct business only in Ontario, managing an Ontario corporation tends to be simpler.
  • Name Search NUANS — Corporations that decide on a name must perform a NUANS name search before incorporation to check for duplicate or confusing names. Numbered corporations skip this procedure.

Things to look at first when choosing

Making your decision becomes much easier if you first clarify whether your business will remain in Ontario or if you plan to expand to other provinces, as well as the importance of board composition and brand name protection. Since initial settlement procedures—such as business registration, GST/HST registration timing, bank accounts, and accounting systems—are involved alongside the corporate structure, it is advisable to visualize the entire sequence before establishment. The information above is general guidance and may vary depending on the company's business model and expansion plans.
